Trade secrets can be lost if you have one – just one – leak to someone who does not have an NDA with you.
These types of information can be protected just by having decent procedures in place. Keep the sensitive information in a special place, and limit access to it.
Friend-D-As are an unwritten NDA that comes from someone being too embarrassed to ask someone else to sign a real NDA.
